March 31, 2008 Shareholders on BOTH sides approve proposed merger but BLACKMONT fail to raise $1M private placement

The IPO completed on March 23rd, 2007. Since that date the company targetted its qualifying transaction - Myzan Ltd, a UK software and IT services company.

On March 31, 2008 it partially completed the key qualifying tranaction (QT) but to everyone's concern Blackmont had failed to deliver on the $1M private placement that had been expected and promised.

In defence of Blackmont Capital they were already facing the early effects of the 2008 global economic melt-down which was to get even worse over the following months.

Instead of Blackmont's task getting easier, it proved to get harder and by fall 2008 it was clear few CPC's were able to raise their funding.

CPC's have a 2-year deadline to complete their QT. Miramare's deadline is now April 2009.

The Miramare Capital IPO first trading date is April 3rd, 2007. The IPO completed successfully on March 23rd, 2007.
