William E. Smith - President, Chief Executive Officer, Director and Promoter Victoria, British Columbia
Mr. Smith, age 60, is a Chartered Systems Engineer and holds a B.Sc in Special Mathematics from Kings College, London, and an MBA from the University of Victoria. He began his career as a systems engineer at IBM Canada and recently completed 3 years at Microsoft EMEA in the position of Finance Industry Marketing Manager for Microsoft Europe, Middle East and Africa. He left Microsoft in May 2001 to take the position of COO with ICT, a start up company focussed on Core Banking opportunities in Financial Services. Smith has incubated two ISV's (software development companies) which built their successes around Microsoft products. Bill took both companies public and gained considerable experience as a CEO and as a fund-raiser in high technology.
Kim Johnson – Secretary,
Director
Kim E. Johnson is a principal of Ross, Johnson & Associates in Victoria, British Columbia and practices commercial law with a preferred area of practice in exempt securities offerings and real estate disclosure documents for whole and fractional strata lot sales by developers. Kim’s practice has a particular emphasis on representing entrepreneurial clients requiring financing to fund growth or acquisitions. Kim’s clients presently include a publicly traded real estate investment trust, a TSX-Venture listed public company, a Canadian company trading on the US pink sheets, and various private companies and limited partnerships, including an oil and gas company with a flow-through share offering and companies entitled to the 30% BC Venture Capital tax credit. Kim also has several clients that have goods manufactured in China or that have partnered with Chinese businesses.
Kim was formerly a partner with a major inter-provincial law firm and has been involved in many large transactions including the Hibernia offshore oil project. Kim was called to the Saskatchewan Bar in 1982 and to the B.C. Bar in 1984 and is listed as a member in the 2006-2007 National Registries Who’s Who in Executives and Professionals.
Michael Tomczak —Director
Mike Tomczak is a seasoned IT professional with over 30 years experience in the Public and Private sectors. Mike began his IT career as a programmer and progressed rapidly to hold several Senior Management and Executive positions. Most recently Mike had been responsible for creating and managing TELUS’ IT services to the Public Sector in BC where he grew the business to over $30 million per year in 2006. Mike left TELUS in January of 2006 to start MDCR Consulting Services Inc. Mike holds a Project Management Professional designation from the Project Management Institute and has completed the American Management Association’s four week Management course.
Troy Restell — Chief Financial Officer,

Troy Restell is a financial and accounting professional with many years of experience in both the Public and Private sector. Troy began his career in the wealth management industry and has since held several significant finance related positions. These positions have ranged from Corporate Accountant to Controller, and involved companies that have ranged from start-ups to the 50 best managed companies in Canada. Troy is currently working for the City of Victoria where he manages the investment program, risk management and financial reporting. In addition to holding a Commerce degree in International Business, Troy holds the Certified Management Accountant designation
Harry Davis, P.Eng — Director
Mr Davis brings 51 years of technical and business experience in design and implementation of complete businesses in the broadcast, cable television, telecommunications and proprietary software industries, holding senior positions with large, medium and small enterprises. He is President and CEO of H K Davis & associates Limited, an Engineering and Business Consulting company which has been in operation since 1964. For specialized projects he was honored with an “Award of Merit” from the Canadian Consulting Engineers, and a “Certificate of Merit” from the Corporate-Higher Education Forum. More recently, he served as President and CEO of two University-owned Corporations that specialize in the establishment and growth of startup ventures arising out of R&D at the University. In that capacity, he established a number of start-up companies which continue to grow in their communities. He is currently a founding member and senior executive of LearningWise Inc., which received approval from the BC Government to start a new private, national University in Canada, under the name “University Canada West” which commenced classes in September of 2005. He is also an active member Advanced Interactive Canada Inc., a research and development company focused on inventing, patenting and licensing technologies in the telecommunications and computer industries. He continues to assist other new startup companies, serves on the Board of Directors of 2 private companies and is a member of several technical societies. Mr. Davis holds a Bachelor of Science in Electrical Engineering from Queens University (1955), and has completed numerous post graduate courses in business and computer science, from General Electric, IBM and Intel.
Tony Brewis — Director
Tony started his career as a Business Systems Analyst at Ford of Europe and completed this role as a senior manager with overall responsibility for 12 European organisations. He left Ford in January 1985 to take up the position of IT Director with IMCO Group Plc, a leading service administration company focussed on the extended warranty business for leading UK blue chip companies in the electrical retail and motor company sectors. In 1993 he took on the role Head of Business Projects with responsibilities for new market business start-ups in Europe, USA and South America. Tony is now consulting through BWMS limited to various companies. Tony has specialised for the last 5 years in the implementation of ITIL industry standard processes for IT Service Management, Project & Programme Management and Process Management.
